Terms of Service

1. Acceptance of Terms

By accessing or using Clawdy's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

2. Description of Service

Clawdy provides an infrastructure platform that enables users to deploy and manage authenticated cloud servers via subdomain routing. Our services include:

• Machine Provisioning: One-click deployment of cloud servers on supported providers (W3Dev Cloud, Amazon Web Services)
• Authentication Proxy: Secure access to your machines via subdomain routing with cross-domain authentication
• AI Proxy: Credit-based access to AI models through OpenRouter with usage tracking
• Dashboard: Web-based interface for managing your machines, subscriptions, and credits

3. User Accounts

To use Clawdy's services, you must create an account using Google OAuth authentication. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information is accurate and up-to-date

We reserve the right to suspend or terminate your account if we suspect unauthorized use or violation of these terms.

4. Machine Provisioning Terms

When you provision a cloud server through Clawdy:

• Ownership: You retain full ownership and responsibility for the machine and all data stored on it
• Access: We provide secure access via subdomain routing and authentication codes (X-Auth-Code), but do not monitor or access your machine contents
• Billing: Machines are billed according to your subscription plan and the underlying cloud provider's rates
• Termination: You may terminate your machines at any time through the dashboard. We may terminate machines for non-payment or policy violations

5. AI Proxy Usage

Our AI proxy service allows you to access AI models through a credit-based system:

• Credits: Credits are consumed based on API usage and model costs. New accounts receive initial credits as specified in your plan
• No Refunds: Credits are non-refundable once purchased
• Fair Use: We reserve the right to limit usage that we determine, in our sole discretion, to be abusive or excessive
• API Keys: You may optionally provide your own OpenRouter API key for direct billing

6. Acceptable Use Policy

You agree not to use Clawdy's services to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit malware, viruses, or any code of a destructive nature
• Engage in cryptocurrency mining without explicit authorization
• Host content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to other systems or networks
• Use the service for spam, phishing, or other fraudulent activities
• Interfere with or disrupt the integrity or performance of the service
• Resell or redistribute the service without authorization

7. Payment and Billing

Payment processing is handled securely through Stripe. By subscribing to a paid plan, you agree to:

• Recurring Charges: Subscription fees are charged automatically at the beginning of each billing period
• Price Changes: We may change prices with 30 days' notice. Continued use constitutes acceptance of new prices
• Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period
• Failed Payments: We may suspend access if payment fails after reasonable attempts to collect

8. Intellectual Property

The Clawdy service, including its original content (excluding content provided by users), features, and functionality, is and will remain the exclusive property of Clawdy and its licensors. The service is protected by copyright, trademark, and other laws.

You retain all rights to the content you create or store on your provisioned machines. By using our service, you grant us a limited license to display and process your data solely as necessary to provide the service.

9. Third-Party Services

Our service integrates with third-party providers. Your use of these services is subject to their respective terms:

• Cloud Providers: W3Dev Cloud and AWS have their own terms of service that apply to machines provisioned through their platforms
• OpenRouter: AI model access is subject to OpenRouter's terms and the individual model providers' terms
• Stripe: Payment processing is subject to Stripe's terms of service
• Google: Authentication is subject to Google's terms of service

10. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with advance notice when possible
• Experience unplanned outages due to factors beyond our control
• Modify, suspend, or discontinue features with reasonable notice

We are not liable for any damages arising from service interruptions or discontinuation.

11. Limitation of Liability

To the maximum extent permitted by law, Clawdy and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the service
• Unauthorized access to or alteration of your transmissions or data
• Any third-party conduct or content on the service

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content

13. Indemnification

You agree to defend, indemnify, and hold harmless Clawdy and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

• Your use of the service
• Your violation of these terms
• Your violation of any third-party rights
• Content you store or process through the service

14. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including breach of these terms. Upon termination:

• Your right to use the service will immediately cease
• We may delete your data after a reasonable retention period
• You remain responsible for all charges incurred up to the termination date
• Provisions that by their nature should survive termination will survive

15. Governing Law

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising under these terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

16. Changes to Terms

We reserve the right to modify or replace these terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of the service after any changes constitutes acceptance of the new terms.

17. Severability

If any provision of these terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
